1. Definitions
Throughout these Terms, the following words carry the meanings set out below:
- "Agreement" — these Terms & Conditions together with any signed engagement letter or written proposal accepted by the Client.
- "Service" / "Services" — any AI integration consulting, assessment, or ongoing support work delivered by Ploy Compute, as described in Section 3.
- "We" / "Us" / "Our" / "Company" — Ploy Compute, registered and operating from 84 Ratchadamri Road, Lumphini, Bangkok 10330, Thailand.
- "Client" / "You" / "User" — the individual or organisation that engages Ploy Compute for Services or accesses the Company's website.
- "Content" — all materials, documents, data, and outputs produced during the delivery of Services.
- "Deliverables" — specific outputs agreed in writing as part of an engagement, such as assessment reports, integration builds, or maintenance summaries.
2. Acceptance of Terms
By submitting an enquiry form, signing an engagement letter, or making a payment to Ploy Compute, you confirm that:
- You have read and understood these Terms in full.
- You are at least 18 years of age and have the legal authority to enter into this Agreement on behalf of yourself or your organisation.
- Where entering on behalf of a company, you represent that you are authorised to bind that company to these Terms.
- You accept these Terms as the basis of the relationship between yourself and Ploy Compute.
3. Service Description
Ploy Compute provides professional AI integration consulting for businesses in Thailand and the wider region. Our current service offerings are:
- Clarity Assessment (฿5,000) — A structured review of your business processes to identify suitable areas for AI support, delivered as a written summary. Covers one to two teams over approximately two to three weeks.
- Layered Integration (฿11,300) — Design and deployment of a tailored AI assistant within one of your existing tools, including full documentation and a structured handover. Approximately five weeks in duration.
- Maintenance Programme (฿17,500/month) — Ongoing upkeep, monitoring, and measured expansion of an existing integration. Includes quarterly reviews and a named point of contact. Month-to-month arrangement.
Services are delivered in English and Thai. Geographic restrictions may apply for certain third-party tool integrations; we will advise you at the scoping stage if any apply to your situation.
4. Engagements & Scope
Each engagement is defined in a written proposal or engagement letter that specifies the scope, timeline, and agreed deliverables. The following applies to all engagements:
- Work begins only after written confirmation from both parties and receipt of any applicable deposit.
- Changes to agreed scope must be requested in writing. Significant scope changes may affect the timeline and price, which we will discuss with you before proceeding.
- We will notify you promptly if any factor outside our control is likely to affect delivery timelines.
- Timelines stated in service descriptions are estimates based on typical projects. Actual duration may vary depending on your team's availability and the complexity of your systems.
5. User Responsibilities
To allow us to deliver Services effectively, you agree to:
- Provide accurate, complete, and timely information about your systems, processes, and requirements.
- Make relevant team members available for scheduled sessions and reviews.
- Obtain any necessary permissions for us to access the systems or tools involved in the engagement.
- Not use any deliverables or outputs from our Services in a manner that is unlawful, harmful, or deceptive.
- Keep confidential any proprietary methods, templates, or processes we share during the engagement.
- Promptly raise any concerns about deliverables so that we have a reasonable opportunity to address them.
Prohibited uses include, but are not limited to: reselling deliverables without our written consent, using our work to mislead end users, or attempting to reverse-engineer our proprietary processes.
6. Intellectual Property
Ownership of intellectual property is allocated as follows:
- Client data and content: remains fully owned by you at all times.
- Bespoke deliverables: once an engagement is paid in full, ownership of the agreed deliverables (e.g., assessment reports, integration builds) transfers to you.
- Ploy Compute's methodology and frameworks: remain our property. You receive a non-exclusive, non-transferable licence to use them solely for the purpose of the engagement.
- Pre-existing IP: any tools, templates, or code libraries we bring to an engagement remain ours, though you may use the outputs they produce within the scope agreed.
Nothing in this Agreement grants you rights to the Ploy Compute name, logo, or branding.
7. Payment Terms
All fees are denominated in Thai Baht (฿ THB) and are subject to applicable Thai taxes.
- Clarity Assessment & Layered Integration: a 50% deposit is due at engagement start; the remainder is due on delivery of the agreed Deliverables.
- Maintenance Programme: invoiced monthly in advance. The first invoice is due before work commences each month.
- Payment is accepted by bank transfer to the account details provided on our invoice.
- Invoices are payable within 15 business days of the invoice date unless otherwise agreed in writing.
- Late payments may incur a simple interest charge of 1% per month on the outstanding balance.
Cancellations: if you cancel a fixed-price engagement after work has begun, fees already incurred for completed work stages are non-refundable. The Maintenance Programme may be cancelled with 30 days' written notice; no refund is issued for the current month's fee.
8. Service-Specific Terms
In addition to the general terms above, the following apply to each service:
- Clarity Assessment: the written summary we provide reflects the information you share with us and the state of your systems at the time of the assessment. It is an advisory document and does not constitute a binding roadmap.
- Layered Integration: the integration is built to the specifications agreed in the engagement letter. Subsequent changes to your tool's underlying platform or API may require additional work, which will be quoted separately.
- Maintenance Programme: the scope of monthly maintenance is described in the engagement letter. Work falling outside that scope (e.g., significant new integrations) will be quoted separately. Either party may end the Programme with 30 days' written notice.
9. Disclaimers
Ploy Compute provides Services with reasonable care and professional diligence. However:
- Services are provided on an "as is" basis. We do not warrant that AI tools or integrations will be free from error, uninterrupted, or suited to every purpose.
- We do not promise any particular business outcome. The impact of AI integration depends on many factors outside our control, including your team's adoption and market conditions.
- Our Services do not constitute legal, financial, medical, or regulatory advice. Where such advice is needed, you should consult a qualified professional.
- We are not responsible for the terms, availability, or behaviour of third-party platforms or AI providers whose tools are used during an engagement.
10. Limitation of Liability
To the fullest extent permitted by Thai law:
- Our total aggregate liability for any claim arising from or related to an engagement shall not exceed the total fees paid by you for that engagement in the three months preceding the claim.
- We shall not be liable for any indirect, consequential, incidental, or special loss, including loss of profit, revenue, data, or business opportunity, even if we were advised such losses were possible.
- Nothing in these Terms limits our liability for fraud, death, or personal injury caused by our negligence.
- Events outside our reasonable control — including acts of government, internet outages, or third-party platform failures — will not be treated as a breach of these Terms.
11. Indemnification
You agree to indemnify and hold harmless Ploy Compute, its staff, and associates from any claim, loss, or expense (including reasonable legal fees) that arises from: (a) your breach of these Terms; (b) your misuse of our deliverables; or (c) any third-party claim relating to content or data you provided to us during an engagement.
12. Termination
- By either party: any engagement may be ended by written notice if the other party has materially breached these Terms and has not remedied the breach within 14 days of written notice.
- By Ploy Compute: we may suspend or end an engagement immediately if we reasonably believe continued work would involve us in unlawful activity or breach of a third-party agreement.
- Effects: on termination, you must pay for all work completed to the date of termination. Sections 6, 9, 10, 11, and 13 survive termination.
13. Dispute Resolution
These Terms are governed by the laws of the Kingdom of Thailand. If a dispute arises, the parties agree to the following process:
- Informal resolution: the parties will first attempt to resolve the matter through good-faith discussion within 30 days of written notice of the dispute.
- Mediation: if informal resolution is not reached, either party may refer the dispute to a mutually agreed mediator.
- Courts: if mediation does not resolve the dispute, the courts of Bangkok, Thailand shall have exclusive jurisdiction.
14. General Provisions
- Entire agreement: these Terms, together with any signed engagement letter, constitute the entire agreement between the parties and supersede all prior discussions.
- Severability: if any provision is found unenforceable, the remaining provisions continue in full force.
- Waiver: failure to enforce any provision on one occasion does not waive our right to enforce it on a future occasion.
- Assignment: you may not assign your rights or obligations under these Terms without our prior written consent. We may assign our obligations to a successor business.
- Notices: formal notices should be sent by email to [email protected] or by post to our registered address.
15. Changes to Terms
We may update these Terms from time to time to reflect changes in our services or applicable law. Where the changes are material, we will notify you by email at least 14 days before they take effect. Continued use of our Services after that date constitutes acceptance of the revised Terms. The current version is always available at ploycomp.pro/terms-conditions.html.
